1. Acceptance of Terms

Welcome to Loclie. These Terms of Service ("Terms") govern your access to and use of the Loclie platform, website, mobile applications, and related services (collectively, the "Services") provided by Loclie ("we", "us", or "our").

By accessing or using our Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use our Services. We reserve the right to modify these Terms at any time, and your continued use of the Services after such changes constitutes acceptance of the modified Terms.

2. Eligibility

You must be at least 13 years of age (or 16 in some jurisdictions) to use our Services. By using our Services, you represent and warrant that you meet this age requirement. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. Account Registration and Responsibilities

3.1 Account Creation

To access certain features of our Services, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate and current.

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Not sharing your account with others or allowing others to access your account

3.3 Account Types

We offer different account types for individual users and business owners. Each account type has specific features and responsibilities as outlined in our pricing and feature documentation.

4. User Content

4.1 Your Content

You retain ownership of any content you submit, post, or display through our Services ("User Content"), including business listings, reviews, ratings, photos, and messages. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content in connection with operating and improving our Services.

4.2 Content Standards

You agree that your User Content will not:

  • Contain false, misleading, or fraudulent information
  • Infringe on intellectual property rights of others
  • Violate any applicable laws or regulations
  • Contain harmful, offensive, or inappropriate material
  • Include spam, advertising, or promotional content (except in business listings)
  • Contain malware, viruses, or harmful code
  • Impersonate any person or entity
  • Harass, abuse, or harm others

4.3 Content Moderation

We reserve the right to review, monitor, remove, or modify User Content that violates these Terms or is otherwise objectionable. However, we are not obligated to monitor all User Content and do not assume liability for content posted by users.

4.4 Reviews and Ratings

Reviews and ratings should be honest, factual, and based on your genuine experience. You may not post fake reviews, manipulate ratings, or incentivize others to leave reviews. Business owners may respond to reviews but may not alter or remove reviews except through our dispute resolution process for clearly false or defamatory content.

5. Business Listings

5.1 Creating Business Listings

Business owners may create and manage listings for their businesses. You represent that you have the authority to create a listing for the business and that all information provided is accurate and current.

5.2 Business Listing Requirements

Business listings must:

  • Represent legitimate, operating businesses
  • Contain accurate business information (name, address, hours, contact details)
  • Include appropriate and professional photos
  • Be placed in the correct town and category
  • Comply with all applicable laws and regulations
  • Not contain misleading or deceptive information

5.3 Duplicate Listings

Each business should have only one listing. We reserve the right to merge or remove duplicate listings.

5.4 Verification

We may require verification of business ownership and information. Failure to complete verification when requested may result in suspension or removal of your listing.

6. Pricing and Payment Terms

6.1 Subscription Plans

We offer various subscription plans for business listings. Current pricing and features are available on our website. Prices are subject to change with notice to existing subscribers.

6.2 Payment Processing

Payments are processed through third-party payment processors. By providing payment information, you authorize us to charge your payment method for all fees incurred. You are responsible for all charges, including any applicable taxes.

6.3 Billing and Renewal

Subscription fees are billed in advance on a recurring basis according to your selected billing cycle (monthly or annually). Subscriptions automatically renew unless you cancel before the renewal date.

6.4 Free Trials and Promotions

We may offer free trials or promotional pricing. Unless you cancel before the trial ends, you will be charged for the subscription. Promotional offers are subject to specific terms and conditions.

6.5 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial billing periods or unused services, except as required by law or at our sole discretion.

6.6 Failed Payments

If a payment fails, we may suspend your access to paid features until payment is received. Repeated payment failures may result in termination of your subscription.

7. Prohibited Activities

You may not:

  • Use the Services for any illegal purpose or in violation of any laws
  • Violate the rights of others, including intellectual property rights
  • Access or use another user's account without permission
  • Interfere with or disrupt the Services or servers
  • Attempt to gain unauthorized access to any part of the Services
  • Use automated tools to access or scrape the Services without permission
  • Transmit viruses, malware, or harmful code
  • Engage in fraudulent, deceptive, or manipulative practices
  • Collect personal information about other users without consent
  • Create fake accounts or impersonate others
  • Manipulate reviews, ratings, or other user-generated content
  • Circumvent any access restrictions or security measures
  • Use the Services to compete with us or develop competing products

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Services, including all content, features, functionality, software, designs, text, graphics, logos, and trademarks, are owned by Loclie or our licensors and are protected by copyright, trademark, and other intellectual property laws. You may not use our intellectual property without our prior written permission.

8.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose, subject to these Terms. This license does not include any right to resell, redistribute, or create derivative works.

8.3 Copyright Infringement

We respect intellectual property rights. If you believe content on our Services infringes your copyright, please contact us at legal@loclie.com.au with details of the alleged infringement.

9. Disclaimers and Limitation of Liability

9.1 Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT DEFECTS WILL BE CORRECTED.

9.2 Third-Party Content

We do not endorse, verify, or guarantee the accuracy of User Content, business listings, reviews, or other information provided by third parties. You use such information at your own risk.

9.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOCLIE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of (or inability to access or use) the Services
  • Any conduct or content of any third party on the Services
  • Unauthorized access, use, or alteration of your content
  • Any other matter relating to the Services

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR AUD $100, WHICHEVER IS GREATER.

9.4 Consumer Guarantees

Nothing in these Terms excludes, restricts, or modifies any consumer rights or remedies under the Australian Consumer Law or other applicable consumer protection laws that cannot be lawfully excluded.

10. Indemnification

You agree to indemnify, defend, and hold harmless Loclie and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising out of or relating to:

  • Your use of the Services
  • Your User Content
  • Your violation of these Terms
  • Your violation of any rights of another person or entity
  • Your violation of any applicable laws or regulations

11. Termination

11.1 Termination by You

You may terminate your account at any time by following the account deletion process in your settings. Termination does not relieve you of obligations to pay any outstanding fees.

11.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms, engaged in fraudulent activity, or for any other reason at our sole discretion.

11.3 Effect of Termination

Upon termination, your right to use the Services ceases immediately. We may delete your account and content, though some information may be retained as required by law or for legitimate business purposes. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of New South Wales, Australia, without regard to conflict of law principles.

12.2 Dispute Resolution

Before initiating formal legal proceedings, you agree to first contact us at legal@loclie.com.au to attempt to resolve the dispute informally. If the dispute cannot be resolved within 30 days, either party may pursue formal dispute resolution.

12.3 Jurisdiction

You agree to submit to the exclusive jurisdiction of the courts of New South Wales, Australia, for any disputes arising out of or relating to these Terms or the Services.

13. General Provisions

13.1 Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website with an updated "Last updated" date. Material changes will be notified to users via email or prominent notice on the Services. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.

13.2 Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Loclie regarding the Services and supersede all prior agreements and understandings.

13.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

13.5 Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign these Terms without restriction.

13.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, natural disasters, or government actions.
